Terms of Use and End-User License Agreement

These Terms govern access to and use of the WPM Business Assistant operated by Whitmer's Property Maintenance ("WPM," "we," "our," or "us"). By using the application, you agree to these Terms. If you do not agree, do not use it.

1. Purpose and Authorized Users

The WPM Business Assistant is an internal business-management tool for WPM owners, employees, contractors, and others expressly authorized by WPM who are at least 18. It may help review inquiries, organize customer information, monitor estimates and invoices, identify overdue balances, prepare drafts, and create operational summaries. These Terms cover the software and connected features; they do not replace WPM's separate property-service estimates, contracts, warranties, or payment obligations.

Do not share login credentials, access links, or authorization tokens. You are responsible for activity through your account and must promptly report suspected unauthorized access.

2. Limited License

WPM grants authorized users a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the application solely for legitimate WPM business purposes. No ownership of the application, design, workflows, content, software, or intellectual property is transferred.

3. Acceptable Use

You may not access unauthorized information; use customer, financial, or personnel information for unrelated purposes; share data with unauthorized parties; bypass security or approval requirements; reverse engineer, resell, copy, or distribute the application; introduce harmful code; send unlawful or deceptive communications; or use the application in violation of law or another person's rights.

4. QuickBooks and Connected Services

When authorized, the application may connect to QuickBooks Online and access customer records, estimates, invoices, balances, payments, products, services, and related accounting information for legitimate WPM business purposes.

QuickBooks and other connected services are operated by their providers and governed by their own agreements and privacy policies. WPM does not control third-party interruptions, changes, errors, or acts. An authorized administrator may revoke QuickBooks access through Intuit settings, which may disable application features.

5. Read-Only Features and Approvals

Some features only read and summarize information. Others may prepare drafts or proposed actions. Unless WPM expressly enables another approved workflow, estimates, invoices, contracts, customer messages, payment reminders, record changes, and other material actions must be reviewed and approved by an authorized WPM owner or manager before being sent or completed.

Users must verify names, addresses, prices, dates, service details, taxes, balances, payment status, and other material information before approval.

6. Automated and AI-Generated Output

Automated or artificial-intelligence output may be incomplete, inaccurate, outdated, or unsuitable. It does not replace professional judgment. Authorized users must review it before using it for customer, accounting, legal, tax, safety, employment, or financial decisions.

7. Security and Privacy

Users must protect passwords, accounts, devices, and tokens and promptly report suspected compromise. WPM may suspend access to investigate misuse, protect information, comply with law, or prevent harm.

QuickBooks authorization credentials are stored in encrypted form. Data handling may also be subject to the policies of Intuit, OpenAI, Google, Squarespace, and other connected providers.

8. Ownership

WPM and its licensors retain all rights in the application, including its software, design, branding, workflows, documentation, and original content. WPM business records remain subject to WPM's rights and applicable law. Third-party data remains subject to the applicable provider's agreements.

9. Availability and Changes

WPM may modify, suspend, restrict, or discontinue any part of the application. We do not guarantee continuous, error-free, secure, or future-compatible operation. Maintenance, security updates, integration changes, and feature restrictions may occur when reasonably necessary.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

WPM does not warrant that automated output, accounting information, third-party data, or suggested actions will be complete, current, or error-free. Users must compare information with authoritative records.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WPM AND ITS OWNERS, PERSONNEL, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR DATA; BUSINESS INTERRUPTION; OR LOSSES FROM RELIANCE ON AUTOMATED OUTPUT OR THIRD-PARTY SERVICES.

Where liability cannot be excluded, WPM's aggregate liability relating to the application will not exceed the amount, if any, paid by the applicable user specifically for application access during the preceding twelve months. Some jurisdictions do not allow certain limitations.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless WPM and its owners, personnel, service providers, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from unauthorized use, violation of these Terms or law, or infringement of another person's rights.

13. Suspension and Termination

WPM may suspend or terminate access when a user is unauthorized, violates these Terms, creates a security risk, misuses information, or creates potential harm. The license ends immediately. Ownership, privacy, disclaimer, liability, indemnification, and dispute provisions survive where applicable.

14. Governing Law

These Terms are governed by Florida law. Disputes not resolved informally will be brought in a court of competent jurisdiction serving Hillsborough County, Florida, unless applicable law requires otherwise.

15. Changes, Severability, and Entire Agreement

WPM may update these Terms by posting a revised version and effective date. Continued use constitutes acceptance. If a provision is unenforceable, the remaining provisions remain effective. These Terms and the incorporated Privacy Policy constitute the agreement governing the application unless a separate written agreement signed by WPM applies.
